Terms of Service

These Terms of Service ("Terms") govern access to and use of jooj at https://jooj.nikzad.studio/ (the "Service"), operated by Nikzad Studio ("we", "us", or "our"). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
The Service
jooj is online software we make available. We may change, suspend, or discontinue any part of the Service at any time, with or without notice, and without liability to you. We do not promise any particular feature, uptime, or support.
Eligibility and accounts
You must be the age of majority in your jurisdiction and legally able to enter a contract. If you use the Service for an organization, you represent that you have authority to bind it to these Terms.
You are responsible for the accuracy of account information, for keeping credentials confidential, and for all activity under your account. Notify us if you suspect unauthorized use. We may refuse, suspend, or close accounts at our discretion.
Acceptable use
You will not: (a) break the law or infringe others' rights; (b) attempt unauthorized access to the Service, other accounts, or underlying systems; (c) interfere with or disrupt the Service; (d) upload malware or probe for vulnerabilities except with our written permission; (e) scrape, harvest, or bulk-extract data except through interfaces we expressly allow; (f) misrepresent your identity or affiliation; or (g) use the Service to harass, exploit, or harm others.
We may investigate suspected violations, remove material, limit features, and report conduct to authorities. We have no duty to monitor the Service.
Your content
You retain ownership of content you submit ("Your Content"). You grant us a worldwide, non-exclusive, royalty-free, transferable license to host, store, process, reproduce, adapt for technical purposes, display, and otherwise use Your Content to operate, secure, and improve the Service. We may use aggregated or de-identified information derived from Your Content or from use of the Service for any lawful purpose.
You represent that you have the rights needed to submit Your Content and that it does not violate law or third-party rights. We may remove, restrict, or refuse any content at our discretion. You are responsible for keeping your own copies; we do not warrant that Your Content will be stored, backed up, or recoverable.
Third-party services
The Service may depend on third-party hosting, infrastructure, communications, and similar providers. If you use a third-party sign-in or other integration, that provider's terms also apply. We are not responsible for third-party services, outages, or acts we do not control.
Intellectual property
The Service, including software, design, trademarks, and documentation, is owned by Nikzad Studio or its licensors. We grant you a limited, personal, non-exclusive, non-transferable, revocable right to access and use the Service through the interfaces we provide, only as allowed by these Terms. You may not copy, modify, reverse engineer, or redistribute the Service except as the law expressly allows despite this limit.
Plans, fees, and billing
The Service may be free, paid, or both. Current plans, features, limits, and prices are those shown in the Service or at checkout when you subscribe or buy. They are not locked into these Terms and may change.
We may add, change, split, or remove plans, features, usage limits, and prices at any time. We do not promise to keep a prior plan, price, feature set, or promotional deal. Free, trial, and promotional access is discretionary and may end or convert to paid at any time.
If you are on a paid term, a price change or a material change to paid features applies from the next renewal unless we say otherwise or law requires a different process. We may give notice we consider reasonable. Renewal or continued use after that notice is acceptance. We may charge the then-current price at each renewal until you cancel.
Fees are due in advance unless we say otherwise. You authorize us and our payment provider to charge your payment method for the selected plan, renewals, taxes, and other amounts you incur. Failed or disputed payment may result in suspension, downgrade, or termination.
Except where law requires otherwise, fees are non-refundable, including for unused time, downgrades, cancellations mid-term, or if we change or discontinue a feature. You are responsible for applicable taxes. We may collect taxes where we believe we must.
Disclaimer of warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT DATA WILL BE PRESERVED. THE SERVICE IS NOT PROFESSIONAL ADVICE.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NIKZAD STUDIO AND ITS SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS, EVEN IF ADVISED OF THE POSSIBILITY. THIS INCLUDES LOSS ARISING FROM YOUR CONTENT, UNAUTHORIZED ACCESS, THIRD-PARTY SERVICES, OR CHANGES TO THE SERVICE.
OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM, OR ONE HUNDRED CANADIAN DOLLARS (CAD $100) IF YOU PAID US NOTHING.
Some places do not allow certain limits. In those places, our liability is limited to the fullest extent permitted by law. These limits apply regardless of the legal theory, and they are a fundamental part of the basis of the bargain.
Indemnity
You will defend, indemnify, and hold harmless Nikzad Studio and its officers, contractors, and suppliers from claims, damages, losses, and expenses (including reasonable legal fees) arising out of Your Content, your use of the Service, or your violation of these Terms or applicable law.
Suspension and termination
You may stop using the Service at any time. We may suspend or end access at any time, including if you violate these Terms, if required by law, if we discontinue the Service, or for any other reason we consider appropriate, with or without notice.
After access ends, we may delete accounts and data, subject to any limited records we keep as described in our Privacy Policy. Sections that should reasonably survive (including ownership, licenses granted to us, disclaimers, limits on liability, indemnity, and governing law) survive termination.
Changes
We may change these Terms at any time by posting the updated version on this page and revising the "Last updated" date. Continued use after a change becomes effective is acceptance of the revised Terms, except where applicable law requires a different process. We may, but are not required to, give additional notice.
Governing law
These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable there, without regard to conflict-of-law rules. The courts of British Columbia have exclusive jurisdiction, except that we may seek injunctive or similar relief in any competent court. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Before bringing a claim, you agree to contact us and try to resolve the dispute informally for 30 days. Nothing in these Terms limits rights that applicable consumer law does not allow you to waive.
General
These Terms are the entire agreement between you and us about the Service and replace any prior terms on the same subject. If a provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them. There are no third-party beneficiaries.
